EULA - End User License Agreement

Etymonix(tm) MPEG-2 Video Codec License Agreement

IMPORTANT - READ CAREFULLY: By downloading, installing, copying,
accessing or otherwise using the Etymonix MPEG-2 Video Codec, you
agree to be bound by the terms of this license agreement. If you
do not agree to the terms of this license agreement, do not
install or use this product.

The Etymonix MPEG-2 Video Codec is a shareware product and its
extended use requires registration. A 30-day trial period is
allowed for evaluation purposes. After that period, you must
either register the product or remove it from your system.

Definitions

"PRODUCT": The Etymonix MPEG-2 Video Codec (including but not
limited to the images, logos, animations, video, audio and text),
its documentation, and all the files contained in the
distribution package.

Ownership

All versions of the PRODUCT are the sole property of Etymonix
Inc. and are protected by copyright laws and international
copyright treaties, as well as other intellectual property laws
and treaties. The PRODUCT is licensed, not sold.

License Grants

By registering the PRODUCT, you are granted a non-exclusive, non-
transferable, single-user license to use one copy of the PRODUCT
on a single computer exclusively for the registered usage type.

You may make one copy of the product solely for backup or
archival purposes. Except as expressly provided in this license
agreement, you may not otherwise make copies of the PRODUCT.

You may store and install a copy of the PRODUCT on a storage
device, such as a network server, that is only accessible to
other computers on an internal network; however, you must obtain
and dedicate a license for each separate computer on which the
PRODUCT is run (regardless of whether it is run concurrently or
not) from the storage device. Multiple licenses of the PRODUCT
can be obtained by registering the desired number of copies.

These license grants are subject to the conditions that no
copyright information or trademark will be added, modified or
removed, and none of the PRODUCT's files will be modified.

All rights not expressly granted are reserved by Etymonix Inc.

Limitations

You may not modify, reverse engineer, decompile, disassemble or
debug the PRODUCT, except and only to the extent that such
activity is expressly permitted by applicable law notwithstanding
this limitation.

You may not add, modify or remove files from the original
distribution package or repackage the PRODUCT.

You may not use the PRODUCT for purposes that violate copyright
laws or copyrighted material.

You may not distribute the registration information (including
but not limited to the registered username and the registration
key) provided by Etymonix Inc. or one of its distributors upon
registering the PRODUCT.

You may not duplicate, sell, rent, lease, lend, sublicense,
distribute or utilize the PRODUCT in any manner not described
herein without written consent of Etymonix Inc. Inclusion of this
product as part of a software and/or hardware package requires a
special distribution license. Parties interested in licensing the
PRODUCT for distribution should contact Etymonix Inc. at
license@etymonix.com.

Etymonix Inc. may provide you with support services related to
the PRODUCT. Any supplemental software code provided to you as
part of the support services shall be considered part of the
PRODUCT and subject to the terms and conditions of this license
agreement. Etymonix Inc. may use any technical information
provided by you as part of the support services for its business
purposes, including for product support and development.

Online services including BBSs, WWW sites and FTP sites which do
NOT charge for file downloads or for online access time may make
the trial version of the PRODUCT available for downloading.
Shareware sites may freely distribute the trial version of the
PRODUCT.

Shareware CD-ROM distributors that charge a copying/distribution
fee of no more than US$10 may distribute the trial version of the
PRODUCT without a special distribution license. However, you must
make it clear that users are NOT purchasing the PRODUCT and that
they must contact Etymonix Inc. to legally register the PRODUCT.

This license agreement does not grant you any rights in
connection with any copyrights or trademarks of Etymonix Inc.

Termination

Without prejudice to any other rights, Etymonix Inc. may
terminate this license agreement if you fail to comply with its
terms and conditions. In such event, you must uninstall and
destroy all copies of the PRODUCT and all of its component parts.
Furthermore, Etymonix Inc. reserves the right not to refund
registered users who are in violation of this license agreement.

No Warranties

To the maximum extent permitted by law, Etymonix Inc. disclaims
all warranties pertaining to the PRODUCT, expressed or implied,
including but not limited to warranties of merchantability and
fitness for a particular purpose. In no event shall Etymonix Inc.
be liable for any loss (including but not limited to loss of
profit, loss of business information, business interruption, or
any other loss) or damage (including but not limited to direct,
indirect, special, consequential, punitive, incidental or other
damages) arising out of the use or inability to use this software
even if Etymonix Inc. is aware of the possibility of such damages
or known defects. The entire risk arising out of use or
performance of the PRODUCT remains with you.

Limitation of Liabilities

Etymonix' entire liability and your exclusive remedy under this
license agreement shall be, at Etymonix' discretion, either (a)
the refund of the registration fee, or (b) the repair or
replacement of the PRODUCT. This limited liability is void if
failure of the PRODUCT has resulted from accident, abuse, or
misapplication.

Miscellaneous

This license agreement is governed by the laws in force in the
Province of Quebec, Canada; and, in the event of any dispute
which may arise hereunder, you consent to the exclusive
jurisdiction of the federal and provincial courts sitting in
Laval, Quebec.

Terms of this license agreement may change in future versions of
the PRODUCT. Before upgrading to a future version of the PRODUCT,
you must accept the terms of the new license agreement.

"Etymonix(tm)" and the Etymonix logo are trademarks of Etymonix Inc.
Use of these trademarks are expressly prohibited without prior
written consent of Etymonix Inc. Other product names, trademarks
and registered trademarks are the property of their respective
holders.
